Terms and Conditions

1. All payments made by the participant in the 2018 Authenticity, Empowerment and Action (AEA) Series (“Member”) to UR Aware, LLC., (“URA”) are non-refundable.

2. URA and AEA Presenters will determine the dates and times of the 2018 AEA Series presentations. URA and Presenters are not responsible for Member ability to attend any or all scheduled Presentations. The Presentations will be held in person or on-line.  Substitute presenters will be used as needed.

3. URA shall retain all right, title, and interest in and to all copyrights, trademarks, or other intellectual property developed or created by URA in connection with the services, and all other proprietary materials provided or created by URA, and all legally protectable elements or derivative works thereto, including without limitation, computer software (in object code form), script, programming code, data, information, HTML code, trademarks, service marks, images, illustrations, graphics, multimedia files, handouts, coaching model, framework, coaching exercises, and/or text (collectively, the “URA Content”), related to this Agreement and the services provided hereunder, whether or not paid for, in whole or in part, by Member, whether or not developed in conjunction with Member, and whether or not developed by URA or any agent or representative of URA. Presenters shall retain all right, title, and interest in and to all copyrights, trademarks, or other intellectual property developed or created by Presenters in connection with the services provided in the URA AEA Speaker Series. All information distributed to Member by URA and Presenters, including all URA and Presenters written and verbal content and any follow-up documentation, shall be considered proprietary information of URA or Presenters and shall not be redistributed by Member without the express written consent of URA or Presenter. Distributing any URA or Presenters content without the express written consent of URA or Presenters will result in legal action.

4. Member hereby agrees that URA shall have the right to use and distribute Member’s name, photos, title, quotes, videos, and testimonials provided by the Member, in connection with URA’s marketing efforts. Notwithstanding the foregoing sentence, URA hereby agrees to keep the following information confidential: (a) financial information related to Member, (d) personal contact information of the Member, and (c) such other information as URA and Member designate in writing as confidential during the Term.

5. (a) Member acknowledges and agrees that: (i) URA, its representatives and Presenters are not licensed psychologists or health care professionals and (b) the AEA presentations are not intended as a substitute for psychological counseling, therapy or professional health-care advice; (c) results from attending workshops and presentations are not guaranteed.

6. Force Majeure. If the performance of any part of this Agreement by URA is prevented, hindered, delayed or otherwise made impractical by reason of any flood, riot, fire, judicial or governmental action, act of God, illness, relocation, or any other causes beyond the reasonable control of URA, then URA shall not be deemed in breach or default of this Agreement for such nonperformance.

7. Confidentiality. URA and Member will keep the details of this Agreement in strict confidence and shall not disclose any of the information contained in this Agreement to third parties unless compelled to by law.

8. Law, Waiver, Severability, Entire Agreement; Headings. This Agreement shall be governed in all respects by the laws of the State of Wisconsin without regard to its conflict of law provisions and exclusive venue and jurisdiction for any litigation arising out of this Agreement shall be subject to the state or federal courts located in Milwaukee, WI. EACH OF THE PARTIES HEREBY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO A JURY TRIAL IN CONNECTION WITH THIS AGREEMENT OR ANY DISPUTE OR CONTROVERSY HEREUNDER OR THE TRANSACTIONS THAT ARE THE SUBJECT HEREOF. No waiver of any provision of this Agreement or of any right or remedy under this Agreement shall be effective unless in writing and signed by the Party against whom such waiver is sought to be enforced. No delay in exercising, no course of dealing with respect to, or no partial exercise of any right or remedy under this Agreement shall constitute a waiver of any other right or remedy or future exercise thereof. If any provision of this Agreement is determined to be invalid under any applicable statute or rule of law, such provision shall be deemed omitted, and the balance of this Agreement shall remain enforceable. This Agreement, constitutes the complete and exclusive statement of all mutual understandings between the Parties with respect to the subject matter of this Agreement, superseding all prior or contemporaneous proposals, communications and understandings, oral or written. No amendment, change, waiver or discharge of this Agreement shall be valid unless in writing and signed by the Parties. All section headings used in this Agreement are for convenience only and shall not constitute a part hereof or affect in any way the meaning or interpretation of this Agreement.

9. IN NO EVENT SHALL URA OR PRESENTERS BE LIABLE TO MEMBER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION, LOSS OF PROFIT, BUSINESS, OR GOODWILL) ARISING OUT OF OR RELATING TO THIS AGREEMENT, ITS SUBJECT MATTER, AND/OR THE RELATIONSHIP OF THE PARTIES, WHETHER SUCH LIABILITY IS ASCERTAINED ON THE BASIS OF CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF URA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. URA’S TOTAL LIABILITY TO CLIENT OR ANY THIRD PARTY FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, ITS SUBJECT MATTER, AND/OR THE RELATIONSHIP OF THE PARTIES SHALL BE LIMITED TO AN AMOUNT NOT IN EXCESS OF THE TOTAL SERVICE FEES PAID BY MEMBER TO URA UNDER THIS AGREEMENT. NOTHING HEREIN SHALL BE DEEMED TO WAIVE ANY DAMAGES OR LIABILITY THAT ARE NON-WAIVABLE AS A MATTER OF LAW. PAYMENT OF THE SERVICE FEE SPECIFIED THIS AGREEMENT IS URA’S PRICE FOR THE PROVISION OF THE SERVICES BASED ON MEMBER ACCEPTANCE OF THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SPECIFIED HEREIN.
